Terms of Service

1. Acceptance of Terms

By accessing or using AllwazeAI's website (www.allwazeai.com), Services, or software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. Your continued use of the Services constitutes acceptance of any modifications to these Terms.

Important Notice: By using the Services, you consent to recording of telephone calls as described in Section 6.4 below.

2. Description of Services

AllwazeAI provides AI-powered automation and revenue recovery systems, including but not limited to automated call answering, lead capture, appointment booking, and communication management for service businesses. Services may include software access, AI call handling, analytics dashboards, and related support.

3. Account Registration and Use

3.1 Account Creation

To access certain Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You agree to notify AllwazeAI immediately of any unauthorized use of your account.

3.3 Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to AllwazeAI systems or networks
• Interfere with or disrupt the Services or servers
• Use the Services to transmit spam, malware, or harmful content
• Reverse engineer, decompile, or disassemble any part of the Services
• Violate any applicable laws, including the Telephone Consumer Protection Act (TCPA)
• Impersonate AllwazeAI, its employees, or other users
• Scrape, data mine, or use automated tools to extract data from the Services
• Create derivative works based on the Services without authorization

4. Fees and Payment

4.1 Pricing

Services may include setup fees and monthly subscription fees as specified at the time of purchase. All fees are in U.S. dollars and are non-refundable except as expressly stated in our Refund Policy.

4.2 Payment Processing

Payments may be processed through third-party payment processors such as Stripe. By providing payment information, you authorize AllwazeAI to charge the applicable fees to your payment method.

4.3 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for payment of all such taxes except those based on AllwazeAI's net income.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled at least fifteen (15) days prior to the renewal date. You will be charged the then-current subscription fee.

4.5 Late Payment

If payment is not received within five (5) days of the due date, AllwazeAI reserves the right to suspend or terminate your access to the Services. A late fee of twenty-five dollars ($25) or five percent (5%) of the outstanding balance, whichever is greater, may be assessed for overdue payments.

5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time by providing written notice via our contact form at least fifteen (15) days before the end of your current billing period. Cancellation will be effective at the end of the current billing period. No refunds will be provided for partial billing periods.

5.2 Termination by AllwazeAI

AllwazeAI reserves the right to suspend or terminate your account and access to the Services at any time, with or without notice, for violation of these Terms, non-payment, or any other reason at AllwazeAI's sole discretion.

5.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. AllwazeAI will retain your account data for up to ninety (90) days to facilitate transition, after which data may be permanently deleted in accordance with our data retention policies, except as required by applicable law or as specified in our Privacy Policy.

6. Intellectual Property Rights

6.1 AllwazeAI Ownership

All rights, title, and interest in and to the Services, including all software, technology, content, trademarks, logos, and documentation, are and will remain the exclusive property of AllwazeAI LLC and its licensors.

6.2 Limited License

Subject to these Terms, AllwazeAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

6.3 Client Data

You retain all rights to data you provide to AllwazeAI ("Client Data"). By using the Services, you grant AllwazeAI a license to use, process, and store Client Data solely to provide the Services and improve our systems. AllwazeAI may use aggregated, anonymized data for analytics and service improvement.

6.4 Call Recordings

The Services may record telephone calls for quality assurance, training, compliance monitoring, and service delivery purposes. By using the Services, you consent to such recording and agree to obtain all necessary consents from third parties as required by applicable law, including two-party consent requirements in certain states.

7. Privacy and Data Protection

Your use of the Services is subject to AllwazeAI's Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. TCPA Compliance and Consent

8.1 Your Obligations

You are solely responsible for ensuring compliance with the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), and all other applicable telecommunications laws. You must obtain all required consents before using AllwazeAI Services to contact individuals.

8.2 Your Consent

By providing your phone number to AllwazeAI, you expressly consent to receive calls, text messages, and other communications from AllwazeAI using automated technology, including AI-powered systems, for service-related purposes. This consent includes calls and texts to the number you provide, even if it is on a federal or state Do Not Call list, and you acknowledge that standard message and data rates may apply. Message frequency varies. Reply STOP to opt out or HELP for assistance.

10. Warranties and Disclaimers

9.1 No Guarantee of Results. AllwazeAI does not guarantee specific business results, revenue increases, or lead conversion rates. Results may vary based on your business, industry, and other factors beyond AllwazeAI's control.

9.2 Service Availability. While AllwazeAI strives to provide reliable Services, we do not guarantee uninterrupted or error-free access. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

9.3 Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLWAZEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

10.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLWAZEAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ALLWAZEAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.2 Exclusion of Damages. IN NO EVENT SHALL ALLWAZEAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF ALLWAZEAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless AllwazeAI LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable laws, including TCPA violations.

13. Dispute Resolution and Arbitration

12.1 Informal Resolution. Before filing any formal claim, you agree to contact AllwazeAI via our contact form to attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Richmond, Virginia.

12.3 Class Action Waiver. You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You may opt out of this arbitration agreement by sending written notice via our contact form within thirty (30) days of first using the Services.

14. Modifications to Terms

AllwazeAI reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and sending notice to the email address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia and the United States, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Richmond, Virginia.

16. General Provisions

15.1 Entire Agreement. These Terms, together with the Privacy Policy, SMS Terms & Conditions, Refund Policy, and Service Agreement, constitute the entire agreement between you and AllwazeAI regarding the Services and supersede all prior agreements and understandings.

15.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without AllwazeAI's prior written consent. AllwazeAI may assign these Terms without restriction.

15.5 Force Majeure. AllwazeAI shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.
